1. Agreement to Terms

By accessing or using the CoreSocialMedia.com website (“the Site”) or subscribing to any of our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use our Site or services. These Terms constitute a legally binding agreement between you (“Client,” “you,” or “your”) and CoreSocialMedia (“we,” “our,” or “us”), a company established in 2025.

2. Service Description

CoreSocialMedia provides subscription-based social media marketing services (“Services”) including but not limited to: social media content creation and management, short-form video production, Instagram Stories and Carousel Posts, Instagram Growth management, Meta Ads management, Google Ads management, static and video ad creative production, user-generated content (UGC) video production, email template design, SEO blog post writing, SEO backlink building, and managed SEO services.

Services are delivered through our proprietary Social Media Content Management System (SMCMS), a web-based platform where you can review content, approve deliverables, provide feedback, and track your content calendar.

3. Subscription Plans

3.1 Standard Package ($499/month)

Includes: a dedicated Marketing Analyst, unlimited content items delivered individually per an agreed weekly content plan, all 21+ service types, support for all 8 platforms (Facebook, Instagram, X/Twitter, TikTok, YouTube, Pinterest, LinkedIn, Google My Business), full SMCMS platform access, unlimited revisions within scope, in-platform messaging, content calendar view, image annotation tools, video timeline marking tools, and a 24-hour response time commitment.

3.2 VIP Package ($1,499/month)

Includes everything in the Standard Package, plus: a dedicated Marketing Manager (instead of Analyst), monthly 30-minute strategy calls, monthly performance reports and analytics, competitive analysis, proactive content suggestions, content calendar optimization, and a 12-hour priority response time.

3.3 “Unlimited” Content Items

Both packages include unlimited content items. “Unlimited” means there is no hard per-item cap on the number of content pieces produced during your subscription period. During onboarding, you and your dedicated marketing professional will agree on a weekly content plan (for example, 5 social media posts, 2 Reels, 1 carousel, and 1 blog post per week). This plan defines the rhythm and cadence of content delivery. You may request additional items beyond the plan or adjust the plan at any time through the SMCMS platform. Content is delivered individually, one item at a time, not in bulk batches.

4. Subscription & Billing

4.1 Payment Processing

All payments are processed by Stripe, Inc. All prices are quoted and charged in United States Dollars (USD). We accept major credit cards (Visa, Mastercard, American Express, Discover), Apple Pay, and Google Pay.

4.2 Billing Cycle

Your subscription is billed on a monthly recurring basis. Your first payment is charged at the time of subscription. Subsequent payments are automatically charged on the same date each month (your “billing date”). If your billing date falls on a day that does not exist in a given month (e.g., the 31st), you will be billed on the last day of that month.

4.3 Auto-Renewal

Your subscription automatically renews each month until you cancel. You will receive an email receipt from Stripe for each successful payment.

4.4 Failed Payments

If a payment fails, Stripe will automatically retry the charge up to 3 times over a 7-day period. If all retry attempts fail, your subscription will be paused. You will receive email notifications about failed payments. To resume service, update your payment method through the Stripe Customer Portal.

4.5 Price Changes

We reserve the right to change subscription prices. Any price changes will be communicated via email at least 30 days in advance and will take effect at the start of your next billing cycle. Your continued subscription after a price change constitutes acceptance.

5. Content Ownership & Intellectual Property

5.1 Client-Owned Content

All content created specifically for you during your subscription (social media posts, videos, graphics, blog posts, email templates, ad creatives, etc.) is owned by you. Upon delivery and approval through the SMCMS platform, you receive full, perpetual, royalty-free rights to use the content for any lawful purpose.

5.2 Portfolio Rights

CoreSocialMedia retains the right to showcase content created for you in our portfolio, case studies, and marketing materials, unless you request otherwise in writing. To request removal of your content from our portfolio, email legal@coresocialmedia.com.

5.3 Third-Party Assets

Some content may include stock photos, icons, or music licensed from third-party providers. These assets are subject to the respective third-party license terms. We will inform you if any content includes licensed assets with usage restrictions.

5.4 CoreSocialMedia Intellectual Property

The SMCMS platform, our website, templates, processes, methodologies, and proprietary tools remain the intellectual property of CoreSocialMedia. Your subscription grants you a non-exclusive, non-transferable license to use the SMCMS platform for the duration of your active subscription.

6. Revisions & Client Responsibilities

6.1 Revisions

Unlimited revisions are included within the original scope of each task. “Within scope” means revisions that modify, refine, or adjust the content based on the original brief. Requests that substantially change the direction, topic, or purpose of a task may be treated as a new task within your content plan.

6.2 Client Responsibilities

You are responsible for: providing accurate and complete brand information and guidelines during onboarding; reviewing and approving content through the SMCMS platform in a timely manner; ensuring you have the legal right to use any materials you provide to us (logos, images, brand assets); maintaining the security of your SMCMS login credentials; and promptly communicating any changes to your business, brand, or marketing objectives.

7. Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal. Cancellation is self-service — no phone calls, emails, or conversations are required. 9. Service Level & Disclaimers

9.1 No Guarantee of Results

CoreSocialMedia provides content creation and marketing execution services. We do not guarantee specific marketing outcomes including but not limited to: follower growth, engagement rates, website traffic, lead generation, sales conversions, revenue increases, or return on investment. Marketing results depend on many factors beyond our control including your product/service, market conditions, competition, and audience behavior.

9.2 Service Availability

We strive to maintain high availability of the SMCMS platform but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CoreSocialMedia’s total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid to us during the current billing period. In no event shall CoreSocialMedia be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless CoreSocialMedia, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your breach of these Terms, your use of our Services, or any content or materials you provide to us.

12. Governing Law & Disputes

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active subscribers at least 14 days before taking effect. Your continued use of our Services after the effective date constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Cancellation Policy, and Cookie Policy, constitute the entire agreement between you and CoreSocialMedia regarding the use of our Services.
